Structured Access toIndia's Unlisted Securities

To carry on the business of providing auxiliary, facilitative, technological and support services in relation to financial service activities, including creation, development, operation, management, administration, supervision, monitoring and maintenance of structured platforms, systems, mechanisms or frameworks for enabling discovery, dissemination, analysis, aggregation, listing, quotation, transfer, transaction facilitation and settlement support in respect of unlisted, privately held, pre-IPO, restricted or otherwise non-listed securities, instruments and financial assets, in compliance with applicable laws.

To establish, design, operate and manage organised mechanisms, electronic platforms, digital infrastructure or structured marketplaces for enabling interaction between issuers, holders, investors, intermediaries and other stakeholders in respect of unlisted securities, without acting as a recognised stock exchange, clearing corporation or regulated market infrastructure under any law for the time being in force.

To provide monitoring, surveillance, information dissemination, analytics, valuation support, data aggregation, reporting and transparency-related services in relation to transactions, transfers or holdings of unlisted securities, and to create systems for orderly participation, governance standards, disclosures and best practices for such securities.

To act as a facilitator, coordinator, service provider or intermediary platform for private companies, startups, investors, family offices, institutions and other eligible participants for the purpose of enabling structured access to unlisted securities opportunities, subject to applicable regulatory frameworks.

To render advisory, consultancy, research, compliance support, documentation assistance and transaction support services in relation to unlisted securities, capital structuring, private placements, secondary transfers, corporate actions, valuation methodologies, governance frameworks and investor communication.

To develop, license, acquire, operate and maintain software, algorithms, databases, dashboards, applications, portals, analytical tools and information systems for supporting financial market–related auxiliary activities, including monitoring and facilitation of unlisted securities transactions.

To collaborate with financial institutions, intermediaries, professionals, technology providers, exchanges, commodity platforms and service organisations, whether in India or abroad, for developing financial ecosystems, structured market frameworks, information systems and best practices relating to securities and commodities markets.
